Article 3. Nature of the activity and legal qualification.
IONA JETS operates exclusively as a digital referral platform (apporteur d'affaires) under Swiss law. The sole purpose of the Platform is to connect clients with independent third-party air charter broker partners who manage all commercial and operational aspects of charter flight arrangements.
IONA JETS expressly confirms that it:

(a) Is not an air carrier, aircraft operator or air charter broker;

(b) Does not hold, has never held, and does not intend to hold an Air Operator Certificate (AOC) or any equivalent aviation operating license in any jurisdiction;

(c) Does not own, lease, manage or operate any aircraft;

(d) Does not employ, train, supervise or certify any flight crew, cabin crew or ground personnel;

(e) Does not quote, price, negotiate or contract any flight, charter, lease, transport or shipment on behalf of any party;

(f) Does not provide, guarantee or warrant any aviation service, ground service, accommodation, transport or logistical arrangement;

(g) Does not handle, store, process or transport any passenger, baggage, cargo or dangerous goods;

(h) Does not act as an agent, representative or intermediary with contractual authority on behalf of any broker, operator or client;

(i) Does not receive, hold or process any client funds, deposits or payments related to any flight or transport service.

All flights, transport services and related arrangements quoted, contracted and performed through broker partners referred by the IONA JETS Platform are executed exclusively by third-party brokers and/or certified operators under their own licenses, terms and conditions, certifications and insurance policies. Any transport-related obligations, liabilities, warranties or guarantees rest solely with the contractual carrier and/or broker identified in the booking documentation provided to the client by the broker partner.

Article 4. Remuneration model.
IONA JETS is remunerated exclusively through commissions paid by broker partners upon successful conversion of referred client requests. IONA JETS does not charge any fee, commission, surcharge or service cost to clients at any stage of the referral process, including but not limited to request submission, proposal review, broker selection or booking confirmation. The client's financial relationship is established directly and exclusively with the broker partner and/or the operating carrier.

Article 5. Legal framework and contractual documents.
The use of the IONA JETS Platform and all related services are governed exclusively by the substantive law of Switzerland. The contractual and policy documents governing the relationship between IONA JETS and the user include:

(a) The present Legal Notice;

(b) The Terms and Conditions;

(c) The Privacy Policy;

(d) The Cookie Policy.

By accessing the Platform, using any of its features or submitting a flight request, the user acknowledges having read, understood and accepted these documents in their entirety. In the event of any conflict between these documents, the Terms and Conditions shall prevail, followed by the Privacy Policy, the Cookie Policy and this Legal Notice in descending order of precedence.

Article 6. Intellectual property.
All content published on the IONA JETS Website, including but not limited to texts, articles, images, photographs, graphics, logos, trademarks, icons, page layouts, software code, database structures and design elements, is the exclusive property of IONA JETS or is used under authorized license, and is protected by Swiss and international intellectual property laws, including the Swiss Federal Act on Copyright and Related Rights (CopA) and applicable international treaties.
Any reproduction, modification, distribution, transmission, display, creation of derivative works, reverse engineering or any form of exploitation of this content, in whole or in part, without prior written consent from IONA JETS, is strictly prohibited and may result in civil and criminal proceedings under applicable law.
Downloads and copies of this Website are permitted only for private, non-commercial use. Any commercial use, including but not limited to scraping, data mining, automated extraction or systematic copying, is expressly prohibited.
The trade name "IONA JETS", the associated logo and all related visual identity elements are the exclusive property of Dimitri Memleb and may not be used, reproduced or referenced without prior written authorization.

Article 7. Liability for content.

As a service provider under Swiss law, IONA JETS is responsible for its own content published on the Platform in accordance with applicable legislation. However, IONA JETS is not obligated to monitor transmitted or stored third-party information, nor to investigate circumstances that may indicate unlawful activity, in accordance with applicable Swiss and European legal principles.
The descriptions, service overviews and general information provided on the Platform are of a general nature and reflect common practices and service standards within the air charter industry. They are provided for guidance and informational purposes only and do not constitute a guarantee, warranty, representation or binding commitment that any particular service, configuration, feature, aircraft, operator, pricing or availability will be provided on any specific mission.
IONA JETS shall not be liable for any direct, indirect, incidental, consequential, special or punitive damages arising from or related to:

(a) the use of or inability to use the Platform;

(b) any referral made to a broker partner;

(c) any flight, transport, service or arrangement quoted, contracted or performed by a broker partner or operator;

(d) any act, omission, negligence or default of any broker partner, operator, crew member, ground handler or other third party;

(e) any loss, damage, injury, delay, cancellation or disruption of any nature arising from any cause whatsoever in connection with any flight or transport service.

Article 8. Liability for external links.
The IONA JETS Website may contain hyperlinks to external third-party websites over whose content, accuracy, availability, legality and data practices IONA JETS has no influence or control. The inclusion of any link does not imply endorsement, approval, affiliation or any form of association with the linked website or its operator.
IONA JETS cannot assume any liability for the content, privacy practices, security or availability of these external websites. The respective provider or operator of each linked website is solely responsible for its own content and compliance with applicable law.
Linked pages were reviewed for potential legal violations at the time of initial linking, and no unlawful content was identified at that time. Permanent monitoring of linked content is not reasonable without concrete evidence of an infringement. Upon notification of violations, such links will be removed without undue delay.

Article 9. Personal data protection.
IONA JETS is committed to processing personal data in accordance with applicable Swiss legislation, in particular the Swiss Federal Act on Data Protection (FADP/LPD, SR 235.1), the associated Ordinance on Data Protection (DPO/VDSG), and, where applicable to individuals located in the European Economic Area, the General Data Protection Regulation (EU) 2016/679 (GDPR).
The methods of collection, processing, storage, transfer, retention and protection of personal data, as well as the rights of data subjects, are described in full in the IONA JETS Privacy Policy, which forms an integral part of the contractual framework governing the use of the Platform.

Article 11. Applicable law and jurisdiction.
This Legal Notice, the Terms and Conditions, the Privacy Policy, the Cookie Policy and all associated policies and documents are governed exclusively by the substantive law of Switzerland, to the exclusion of the conflict of laws rules of Swiss private international law and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The exclusive jurisdiction for any dispute, claim or proceeding arising from or relating to the use of the IONA JETS Platform, the interpretation of these documents or any matter connected therewith is established at the courts of Geneva, Switzerland, subject to any mandatory consumer protection provisions that may apply under the law of the user's country of habitual residence.

Article 12. Severability.
If any provision of this Legal Notice is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remaining provisions, which shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent and economic purpose of the severed provision.

IONA JETS reserves the right to modify this Legal Notice at any time. The most current version is always available on the Platform with the date of last update clearly indicated. Material changes will be communicated through a notice on the Platform. Continued use of the Platform after any modification constitutes acceptance of the revised Legal Notice.
