Terms & Conditions

General terms and conditions governing the use of the IONA JETS digital referral platform and the submission of flight requests through the Platform.

Article 1. Definitions.
For the purposes of these Terms and Conditions, the following definitions apply:
"Platform": The website ionajets.com, including all subpages, features, forms, client portal, content and associated digital services operated by IONA JETS.
"IONA JETS", "we", "us", "our": The sole proprietorship Dimitri Memleb, trading under the name IONA JETS, registered at Cours des Bastions 13, 1205 Geneva, Switzerland (CHE-214.262.010 TVA).
"User", "you", "your": Any natural person or legal entity accessing the Platform, submitting a flight request or using any feature of the Platform.
"Client": Any User who submits a flight request through the Platform, whether via the online request forms, email or WhatsApp.
"Broker Partner": An independent third-party air charter broker within the IONA JETS referral network to whom Client requests are referred for quoting, contracting and operational coordination.
"Operator": A third-party certified air carrier holding a valid Air Operator Certificate (AOC) that performs the flight or transport service contracted through a Broker Partner.
"Flight Request" or "Request": Any enquiry submitted by a Client through the Platform seeking a quote, proposal or arrangement for a private, commercial or cargo charter flight.
"Client Portal": The secure online area of the Platform where registered Clients can track the status of their Requests, review and respond to Broker Partner proposals, exchange messages with Broker Partners, manage shared access to Requests and download associated documents.
"Proposal": A response submitted by a Broker Partner through the Client Portal in relation to a Flight Request, which may include a message, proposed departure date and time, attached documents and any other information relevant to the proposed charter arrangement. A Proposal does not constitute a binding offer or contract and is subject to confirmation and agreement directly between the Client and the Broker Partner.
"Shared User": A registered User who has been granted access to a Flight Request by the Client who submitted the Request or by another Shared User who already has access to that Request. A Shared User has the same rights and permissions as the original Client in relation to the shared Request, including the ability to view Request details, review Proposals, accept or decline Proposals, exchange messages with Broker Partners and invite or remove other Shared Users.
"Services": The referral and connection services provided by IONA JETS through the Platform, consisting exclusively of routing Client Requests to appropriate Broker Partners.


Article 2. Scope and acceptance.
These Terms and Conditions govern the relationship between IONA JETS and any User of the Platform. By accessing the Platform, creating an account, submitting a Flight Request or using any feature of the Platform, you acknowledge that you have read, understood and unconditionally accepted these Terms and Conditions in their entirety, together with the Legal Notice, Privacy Policy and Cookie Policy.

If you are accessing the Platform on behalf of a legal entity (company, organization, institution or other body), you represent and warrant that you have the authority to bind that entity to these Terms and Conditions, and all references to "you" and "your" shall refer to both you individually and the entity you represent.
If you do not agree with any provision of these Terms and Conditions, you must immediately discontinue all use of the Platform.


Article 3. Nature of the service and role of IONA JETS.
3.1. Referral platform.
IONA JETS operates exclusively as a digital referral platform (apporteur d'affaires) under Swiss law. The sole function of the Platform is to receive Client Requests and route them to appropriate Broker Partners within the IONA JETS network for quoting, contracting and operational execution.

IONA JETS does not guarantee the continuous, uninterrupted or error-free availability of the Platform or any of its features, including the Client Portal and messaging system.
3.2. No aviation services.
IONA JETS does not provide, perform, contract, guarantee or warrant any aviation service, flight operation, ground service, transport, logistics, accommodation or any other service related to the execution of a charter flight or cargo shipment. All such services are provided exclusively by Broker Partners and/or Operators under their own independent terms, conditions, licenses and insurance.
3.3. No contractual relationship with Operators.
IONA JETS has no contractual, operational, employment or agency relationship with any Operator. The selection, vetting, contracting and supervision of Operators is the sole responsibility of the Broker Partner. IONA JETS does not verify, certify, endorse or guarantee the qualifications, safety record, insurance coverage or regulatory compliance of any Operator.
3.4. No financial intermediation.
IONA JETS does not receive, hold, process, collect or transmit any Client funds, deposits, payments or financial instruments at any stage of the referral or booking process. All financial transactions are conducted directly and exclusively between the Client and the Broker Partner and/or Operator.
 
Article 4. Flight Request submission.
4.1. Submission channels.
Flight Requests may be submitted through the following channels:
(a) Online request forms available on the Platform (separate forms for private aviation, commercial charter and cargo);

(b) Email to contact@ionajets.com.
(c) WhatsApp messaging via the contact button on the Platform;
Requests submitted via email or WhatsApp are received and assessed by an IONA JETS agent, who determines whether the enquiry contains sufficient information to proceed. If the agent considers the request complete and relevant, the agent submits the request on behalf of the Client through the appropriate online request form on the Platform. IONA JETS reserves the right, at its sole discretion, to decline to process any request received via email or WhatsApp that it considers incomplete, unclear, irrelevant or outside the scope of the services offered by its Broker Partner network. Flight Requests are not accepted by telephone. Telephone calls are handled by an automated system which will direct callers to submit their request through one of the channels listed above.

IONA JETS endeavours to process and refer all Flight Requests as promptly as possible. Requests submitted through the online forms are typically processed within minutes. Requests submitted via email or WhatsApp are typically processed within the same timeframe, subject to agent availability and the completeness of the information provided. In all cases, IONA JETS aims to process requests within a maximum of forty-eight (48) hours. These timeframes are indicative only and do not constitute a binding commitment or guarantee.

Requests submitted via WhatsApp are transmitted through the WhatsApp platform operated by Meta Platforms, Inc. The Client acknowledges that such communications are subject to WhatsApp's own terms of service and privacy policy, available at https://www.whatsapp.com/legal/. IONA JETS is not responsible for the data processing practices of WhatsApp or any third-party communication platform used by the Client to contact IONA JETS.
4.2. Request information.
The Client is solely responsible for the accuracy, completeness and timeliness of all information provided in the Flight Request, including but not limited to passenger count, routing, dates, times, cargo specifications, special requirements and contact details. IONA JETS shall not be liable for any error, delay, cost or consequence arising from inaccurate, incomplete or misleading information provided by the Client.

The Client is responsible for ensuring that their contact details remain accurate and up to date throughout the duration of any active Request. IONA JETS shall not be liable for any failure to deliver notifications or for any consequence arising from outdated or inaccurate contact information provided by the Client.
4.3. No obligation to proceed.
Submission of a Flight Request does not constitute a booking, reservation, contract or any binding commitment by any party. The Client is under no obligation to accept any proposal received from a Broker Partner. IONA JETS is under no obligation to refer any particular Request or to ensure that any Broker Partner responds to or accepts any Request.
4.4. Referral discretion.
IONA JETS reserves the right, at its sole discretion and without obligation to provide reasons, to decline, refuse, suspend or discontinue the processing of any Flight Request that it considers inappropriate, fraudulent, unlawful, impractical or outside the scope of the services offered by its Broker Partner network.
 
Article 5. Client Portal and account management.
5.1. Account creation.
Access to the Client Portal requires the creation of a user account. Accounts may be created using an email address and password or through a secure authentication link (magic link) sent to the registered email address. The Client is responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their account.
5.2. Email matching.
Flight Requests submitted via the online forms, email or WhatsApp are linked to the Client Portal based on the email address provided. The Client must use the same email address for both the Flight Request and the Client Portal login to access and track their Request. IONA JETS shall not be liable for any inability to access Request information resulting from the use of different email addresses.
5.3. Shared access to Flight Requests.
5.3.1. Granting access.
The Client Portal allows any User currently associated with a Flight Request (the original Client or any Shared User) to grant access to additional registered Users by entering their email address. The invited User must have an existing account on the Platform. Access is granted immediately upon invitation and does not require acceptance by the invited User.
5.3.2. Rights of Shared Users.
A Shared User has the same rights and permissions as the original Client in relation to the shared Request. This includes the ability to view all Request details and Broker Partner Proposals, accept or decline Proposals on behalf of all persons currently associated with the Request, exchange messages with Broker Partners, download attached documents and invite or remove other Users.
5.3.3. Delegation of authority.
By granting shared access to a Flight Request, the Client expressly delegates to the Shared User the authority to act on behalf of all persons currently associated with that Request. This delegation includes, without limitation, the authority to accept a Broker Partner Proposal, which triggers the release of the contact details provided in the original Request to the selected Broker Partner. The Client acknowledges and accepts that any action taken by a Shared User within the Client Portal is binding and equivalent to an action taken by the Client.
5.3.4. Removal of Users.
Any User currently associated with a Flight Request may remove any other User from that Request, including the original Client. If the original Client is removed, ownership of the Request is automatically transferred to the next User in the list. At least one User must remain associated with each Request at all times. A User who removes themselves from a Request immediately and irrevocably loses access to that Request and all associated Proposals, messages and documents.
5.3.5. Limitation of liability for shared access.
IONA JETS shall not be liable for any action taken by a Shared User, including but not limited to the acceptance or refusal of a Proposal, the sending of messages, the disclosure of information in conversations, the invitation or removal of other Users, or any consequence arising from such actions. The management of shared access and the verification of the identity and authority of Shared Users is the sole responsibility of the Users associated with the Request.
5.3.6. Auditability.
All actions performed within the Client Portal, including the addition and removal of Shared Users, the acceptance and refusal of Proposals and the sending of messages, are logged and traceable by IONA JETS for audit, dispute resolution and compliance purposes.
5.4. Account security.
The Client must immediately notify IONA JETS at contact@ionajets.com of any suspected unauthorized access to their account, any security breach or any other compromise of their login credentials. IONA JETS reserves the right to suspend or terminate any account that it reasonably believes has been compromised or is being used in violation of these Terms and Conditions.

 

Article 5bis. Communication channels and telephone service.

5bis.1. Written channels.
IONA JETS communicates with Users through the following channels: the Client Portal messaging system, email at contact@ionajets.com and WhatsApp via the contact button on the Platform. These are the primary channels for submitting requests, receiving proposals, exchanging documents and managing bookings.
5bis.2. Telephone service.
Telephone calls to IONA JETS are handled exclusively by an automated artificial intelligence assistant. The AI assistant provides general information about the Platform, the booking process and the services offered. It does not accept flight requests, take messages, process bookings or transfer calls to human staff. Personal data processing in connection with telephone calls is limited to the call recordings described in Article 5bis.3 and is governed by the Privacy Policy. For any action requiring account access or booking management, callers are directed to the written channels listed above.
5bis.3. Call recording.
All telephone calls are recorded for quality assurance, AI training and compliance purposes. A notification is provided at the beginning of each call informing the caller that the call is managed by artificial intelligence and recorded. By remaining on the line after this notification, the caller consents to the recording and to the processing of the call by the AI assistant. Callers who do not wish to be recorded may disconnect at any time. Call recordings are processed in accordance with the Privacy Policy.
5bis.4. Language support.
The telephone service is available in English, French, German, Italian and Spanish. If a caller requires a language other than the one initially selected, the AI assistant may transfer the call to an assistant operating in the preferred language, subject to availability.

5bis.5. Transactional notifications. By using the Client Portal, the User consents to receiving email notifications related to their flight requests, including but not limited to new proposals, proposal status updates, new messages and request confirmations. These notifications are transactional in nature, are distinct from marketing communications and are delivered through a third-party email service provider (Twilio SendGrid, Inc.). The data transmitted for the purpose of sending these notifications is limited to the User's email address, first name and flight request reference number. Users may not opt out of transactional notifications while maintaining an active request on the Platform.

Article 6. Broker Partner Proposals and acceptance process.
6.1. Receipt of Proposals.
Once a Flight Request is referred to the IONA JETS Broker Partner network, one or more Broker Partners may submit Proposals through the Client Portal. Each Proposal may include a message, a proposed departure date and time, attached documents (such as quotes, itineraries or terms) and any other information the Broker Partner considers relevant. IONA JETS does not verify, validate, endorse or guarantee the content, accuracy, availability, pricing or feasibility of any Proposal.

Proposals are valid for the period specified by the Broker Partner, if any. IONA JETS does not determine or guarantee the validity period of any Proposal.
6.2. Confidentiality of contact details.
The contact details provided by the Client in the original Flight Request (including name, email address, telephone number, company name, VAT identification number, billing address and country) are not disclosed to any Broker Partner until and unless the Client or a Shared User accepts a Proposal from that Broker Partner. The Client acknowledges, however, that any personal information voluntarily shared in the Request details or in conversations with Broker Partners through the Client Portal messaging system may be visible to Broker Partners prior to acceptance and is beyond the control of IONA JETS.
6.3. Acceptance of a Proposal.
By accepting a Proposal through the Client Portal, the Client or Shared User:
(a) Acknowledges that they have reviewed the attached documents and the terms presented by the Broker Partner;
(b) Confirms that they are authorised to act on behalf of all persons currently associated with the Request;
(c) Authorises the release of the contact details provided in the original Request to the selected Broker Partner to facilitate direct communication;
(d) Acknowledges that upon acceptance, all other pending Proposals for that Request are automatically declined;
(e) Acknowledges that any contractual agreement, including payment terms and conditions, is entered into directly between the Client and the Broker Partner, and that IONA JETS is not a party to any such agreement;
(f) Acknowledges that acceptance of a Proposal through the Platform cannot be undone.
6.4. Declining a Proposal.
The Client or Shared User may decline a Proposal, in which case the Broker Partner is notified and may submit a revised Proposal. Declining a Proposal does not create any obligation or liability for the Client or for IONA JETS.
6.5. No guarantee of Proposals.
IONA JETS does not guarantee that any Flight Request will receive one or more Proposals from Broker Partners, nor that any Proposal will meet the Client's requirements, expectations or budget. The availability, timing and content of Proposals are entirely at the discretion of the Broker Partners.

Article 7. Client Portal messaging.
7.1. Purpose.
The Client Portal includes a messaging system that allows Clients, Shared Users and Broker Partners to exchange messages in relation to a specific Proposal. Messages are private to the conversation between the Client-side participants and the individual Broker Partner.
7.2. No cross-broker visibility.
Each Broker Partner can only view messages exchanged within the conversation related to their own Proposal. Broker Partners cannot view Proposals, messages or any information relating to other Broker Partners.
7.3. Content responsibility.
Users are solely responsible for the content of messages they send through the Client Portal. IONA JETS does not monitor, filter, moderate or verify the content of messages exchanged between Users and Broker Partners. IONA JETS shall not be liable for any information, representation, commitment, promise or agreement made by any party in a message.
7.4. Message retention and auditability.
All messages exchanged through the Client Portal are stored and retained by IONA JETS for audit, dispute resolution and compliance purposes, in accordance with the retention periods set out in the Privacy Policy.
7.5. Messaging restrictions.
Once a Proposal has been accepted, messaging is restricted to the conversation between the Client-side participants and the Broker Partner whose Proposal was accepted. Conversations with Broker Partners whose Proposals were declined remain accessible in read-only mode for historical reference.

Article 8. Broker Partner relationship.
8.1. Independent third parties.
Broker Partners are independent third-party businesses that are not owned, controlled, employed or directed by IONA JETS. The inclusion of a Broker Partner in the IONA JETS network does not constitute an endorsement, guarantee, certification or representation of any kind regarding the Broker Partner's qualifications, financial standing, service quality or regulatory compliance.
8.2. Direct client-broker relationship.
Once a Flight Request is referred to a Broker Partner, any subsequent communication, negotiation, quoting, contracting, payment, execution, modification, cancellation or dispute is conducted directly between the Client and the Broker Partner, under the Broker Partner's own terms and conditions. IONA JETS is not a party to any contract, agreement or arrangement between the Client and the Broker Partner or Operator.
8.3. Broker Partner terms.
The Client acknowledges and accepts that the terms, conditions, pricing, cancellation policies, liability provisions and insurance coverage applicable to any flight or service are determined exclusively by the Broker Partner and/or Operator, and that IONA JETS has no control over, influence on or responsibility for these terms.

Article 9. Limitation of liability.
9.1. General limitation.
To the maximum extent permitted by applicable law, IONA JETS, its owner, employees, agents and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages of any kind, including but not limited to loss of profits, revenue, data, goodwill, business opportunity or anticipated savings, arising from or related to:
(a) The use of or inability to use the Platform or any of its features;
(b) Any referral made to any Broker Partner;
(c) Any act, omission, negligence, default, misrepresentation, breach of contract or breach of duty by any Broker Partner, Operator, crew member, ground handler, service provider or other third party;
(d) Any flight, transport, service, arrangement or event quoted, contracted, performed, delayed, cancelled, diverted or otherwise affected by any cause whatsoever;
(e) Any loss, damage, injury, illness, death, delay, detention, deportation, confiscation, customs action or any other consequence of any nature arising from or connected with any flight, transport or related service;
(f) Any technical failure, interruption, error, virus, security breach or unavailability of the Platform;
(g) Any reliance on information published on the Platform, which is provided for general guidance only;
(h) Any action taken by a Shared User in relation to a Flight Request, including but not limited to the acceptance or refusal of a Proposal, the sending of messages or the invitation or removal of other Users;
(i) Any disclosure of personal information voluntarily made by the Client or a Shared User in Request details, conversations or any other communication through the Platform;
(j) Any consequence arising from the transfer of Request ownership following the removal of the original Client by a Shared User.
9.2. Maximum liability.
In the event that IONA JETS is found liable despite the foregoing limitations, the total aggregate liability of IONA JETS for all claims arising from or related to the use of the Platform shall not exceed one hundred Swiss francs (CHF 100.00).
9.3. Force majeure.
IONA JETS shall not be liable for any failure or delay in performing any obligation under these Terms and Conditions to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, pandemics, war, terrorism, civil unrest, governmental actions, sanctions, embargoes, strikes, power failures, internet outages, cyberattacks or any other event of force majeure.

Article 10. User obligations and prohibited conduct.
By using the Platform, the User agrees to:
(a) Provide accurate, truthful, current and complete information in all interactions with the Platform;
(b) Use the Platform solely for its intended purpose of submitting legitimate charter flight enquiries;
(c) Not submit fraudulent, misleading, fictitious or speculative Flight Requests;
(d) Not attempt to circumvent the Platform to establish direct contact with Broker Partners for the purpose of avoiding IONA JETS referral commissions;
(e) Not use the Platform for any purpose that violates applicable Swiss, European or international law;
(f) Not scrape, crawl, data-mine, systematically copy or extract data from the Platform;
(g) Not introduce viruses, malware, bots or any other harmful code or technology;
(h) Not impersonate any person or entity or misrepresent any affiliation;
(i) Not interfere with or disrupt the operation, security or integrity of the Platform;
(j) Not grant shared access to a Flight Request to any person who is not authorised to act in relation to that Request;
(k) Not use the Client Portal messaging system to send unsolicited commercial communications, offensive content, defamatory statements or any content that violates applicable law.
IONA JETS reserves the right to suspend or permanently terminate access for any User who violates these obligations, without prior notice and without prejudice to any other legal remedy available.
(l) The Help Center section of the Platform allows registered users to post comments on specific pages. By posting a comment, the user grants IONA JETS a non-exclusive, royalty-free, perpetual, worldwide license to display, reproduce and distribute the comment on the Platform.
(m) Comments are displayed publicly alongside the user's first name and last name as registered on their account. Users acknowledge and accept that their name and comment content will be visible to all visitors of the Platform.
(n) IONA JETS moderates all comments and reserves the right to remove, edit or refuse to publish any comment at its sole discretion, without prior notice and without obligation to provide reasons. Comments may be removed if they are inappropriate, offensive, defamatory, misleading, unrelated to the page topic, contain personal data of third parties, infringe intellectual property rights, promote commercial products or services, or violate any applicable law or regulation.
(o) IONA JETS is not responsible for the accuracy, completeness or legality of user-generated comments. The views expressed in comments are those of the individual users and do not represent the opinions, recommendations or endorsements of IONA JETS.
(p) Users may request the deletion of their own comments by contacting IONA JETS at contact@ionajets.com. Deletion requests will be processed within thirty (30) days.

Article 10bis. User-generated content.
10bis.1. Comments on the Platform. The Help Center section of the Platform allows registered users to post comments on specific pages. By posting a comment, the user grants IONA JETS a non-exclusive, royalty-free, perpetual, worldwide licence to display, reproduce and distribute the comment on the Platform.

10bis.2. Public display. Comments are displayed publicly alongside the user’s first name and last name as registered on their account. Users acknowledge and accept that their name and comment content will be visible to all visitors of the Platform.

10bis.3. Moderation. IONA JETS moderates all comments and reserves the right to remove, edit or refuse to publish any comment at its sole discretion, without prior notice and without obligation to provide reasons. Comments may be removed if they are inappropriate, offensive, defamatory, misleading, unrelated to the page topic, contain personal data of third parties, infringe intellectual property rights, promote commercial products or services, or violate any applicable law or regulation.

10bis.4. Disclaimer. IONA JETS is not responsible for the accuracy, completeness or legality of user-generated comments. The views expressed in comments are those of the individual users and do not represent the opinions, recommendations or endorsements of IONA JETS.

10bis.5. Deletion requests. Users may request the deletion of their own comments by contacting IONA JETS at contact@ionajets.com. Deletion requests will be processed within thirty (30) days.


Article 11. Intellectual property.
All intellectual property rights in and to the Platform, including but not limited to the trade name "IONA JETS", the logo, all content, design, code, databases and documentation, are owned exclusively by IONA JETS or used under authorized license. The User acquires no intellectual property rights through the use of the Platform. Any unauthorized use is subject to the intellectual property provisions set out in the Legal Notice.

Article 12. Indemnification.
The User agrees to indemnify, defend and hold harmless IONA JETS, its owner, employees, agents and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from or related to: (a) the User's breach of these Terms and Conditions; (b) the User's violation of any applicable law or regulation; (c) any Flight Request submitted by the User; (d) any dispute between the User and a Broker Partner or Operator; (e) any third-party claim arising from the User's use of the Platform; (f) any action taken by a Shared User to whom the User granted access to a Flight Request; or (g) any consequence arising from the User's voluntary disclosure of personal information in Request details, conversations or any other communication through the Platform.

Article 13. Modification of the Terms and Conditions.
IONA JETS reserves the right to modify these Terms and Conditions at any time. The most current version is always available on the Platform with the date of last update clearly indicated. Material changes will be communicated through a notice on the Platform. Continued use of the Platform after any modification constitutes acceptance of the revised Terms and Conditions. If you do not agree with any modification, you must discontinue use of the Platform immediately.

Article 14. Term and termination.
These Terms and Conditions remain in effect for as long as the User accesses or uses the Platform. IONA JETS may terminate or suspend any User's access to the Platform at any time, for any reason or for no reason, without prior notice and without liability. Upon termination, all provisions that by their nature should survive termination shall continue to apply, including but not limited to Articles 9 (Limitation of Liability), 11 (Intellectual Property), 12 (Indemnification), 16 (Applicable Law) and 17 (Severability).

Article 15. Entire agreement.
These Terms and Conditions, together with the Legal Notice, Privacy Policy and Cookie Policy, constitute the entire agreement between the User and IONA JETS regarding the use of the Platform. They supersede all prior or contemporaneous communications, proposals, representations or agreements, whether oral or written, relating to the subject matter hereof.

Article 16. Applicable law and jurisdiction.
These Terms and Conditions are governed exclusively by the substantive law of Switzerland, to the exclusion of the conflict of laws rules of Swiss private international law and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive jurisdiction for any dispute, claim or proceeding arising from or relating to these Terms and Conditions or the use of the Platform is established at the courts of Geneva, Switzerland, subject to any mandatory consumer protection provisions that may apply under the law of the User's country of habitual residence.

Article 17. Severability.
If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remaining provisions, which shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent and economic purpose of the severed provision.

Article 18. Waiver.
The failure of IONA JETS to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if made in writing and signed by IONA JETS.

Article 19. Assignment.
